The following is an excerpt from the organization's Articles of Association.

PART 6: COMMUNITY MEMBERSHIP

59. Establishment of Community Membership

(2) Community Members will engage in activities aligned with the Objects of the Company.

(3) Two types of Community Membership shall be available:

  • (a) VIP Community Members: Granted two votes in all Community Membership voting events.
  • (b) Regular Community Members: Granted one vote in all Community Membership voting events.

60. Application and Approval of Community Membership

60. — (1) Individuals must submit a written application for approval to the Directors to become Community Members.

(2) The Directors, Community Deputy, or Community Manager may approve or remove Community Members.

(3) Community Membership is non-transferable.

61. Roles and Responsibilities within Community Membership

61. — (1) The Directors shall appoint:

  • (a) Community Deputy: Responsible for managing the Community Membership and reporting to the Directors.
  • (b) Community Manager: Assists the Community Deputy and reports to the Directors.

(2) The Community Deputy may appoint or remove the Community Manager, subject to Directors' approval.

(3) The Directors of the Company have the authority to appoint additional Community Deputies as needed.

  • (a) Any additional Community Deputies appointed shall have the same rights and responsibilities as the initially appointed Community Deputy.
  • (b) The Directors also have the authority to remove any Community Deputies, including additional appointees, as deemed necessary.

62. Influence and Decision-Making

62. — (1) Community Members are encouraged to express opinions and make suggestions to the Directors regarding the Company’s activities and objectives.

  • (a) Community Members, either individually or collectively, may propose new topics for organizational objects or tasks to be added to the agenda for a voting event.
  • (b) A proposal for a voting event must be supported by written agreement from at least two additional Community Members, totaling a minimum of three proponents for the proposal.
  • (c) Proposals shall be submitted to the Director of the Company, or to the Community Deputy or Community Assistant, who will be responsible for organizing the voting event.
  • (d) The Director of the Company, or the Community Deputy or Community Assistant, will review the proposal and determine its suitability for inclusion in a voting event in accordance with the guidelines established by the Company.

(2) However, Community Members do not possess legal authority to enforce or influence the Directors' final decisions.

(3) All Community Members are required to familiarize themselves with the current rules, objectives, and missions of the Company to ensure they are adequately informed and capable of fulfilling their roles effectively.

(4) Community Members are obligated to actively promote the Company’s organizational materials, documents, articles, and missions.

(5) Community Members shall work in favor of the community and support the achievement of the Objects of the Company.

63. Community Membership Meetings and Voting

63. — (1) General meetings for Community Members shall be convened by the Directors or Community Deputy, with at least 14 days' notice provided via an electronic communication platform approved by the Company.

(2) Urgent meetings may be called without prior notice; attendance is not mandatory.

(3) Voting shall occur electronically through an approved medium.

(4) In the event of a tie, the Director shall have the deciding vote, or the vote will be deferred if the Director is unavailable.

64. Community Member Responsibilities and Reporting

64. — (1) Community Members must engage in activities related to the Objects of the Company.

(2) Bi-monthly contribution reports must be submitted to the Directors, Community Deputy, or Community Manager via the official email provided.

(3) Reports should include written explanations and supporting evidence, such as visuals or graphs.

(4) Active members may submit monthly reports if their contributions are significant.

65. Public Missions and Tasks

65. — (1) The Company shall maintain a Public Missions List, detailing ongoing activities aligned with the Company's Objects.

(2) A Public Tasks List will also be maintained for one-time activities needing completion.

(3) Community Members may volunteer for tasks or missions by expressing interest via the official email.

(4) If unable to complete an assigned task, volunteers must promptly notify the Community of Public Members via the online communication platform and official email.

66. Community Members’ Ranking and Records

66. — (1) The Company may maintain ranking records reflecting Community Members' contributions, based on their reports and supporting evidence.

67. Establishment and Operation of Public Committees

67. — (1) The Directors and Community Deputy may establish Public Committees from among the Community Members responsible for specific areas related to the Company’s Objects.

(2) Committee Members shall work collaboratively to fulfill the responsibilities and achieve the goals assigned to their respective committees.

(3) Each Public Committee may elect a Public Committee Leader to manage activities and report to the Directors, Community Deputy, or Community Manager.

(4) Public Committees may set their own goals and missions, provided they align with the Company’s Objects.

(5) Public Committees may recruit external volunteers who are not Community Members.

(6) Public Committee Leaders must submit reports on the committee’s achievements to the Directors upon request.

(7) Public Committees are directly subordinate to the Director of the Company.

(8) The Directors has the authority to oversee, direct, and, if necessary, dissolve any Public Committee or remove its Public Committee Leader.

(9) The Directors may temporarily delegate authority to one or more Community Members to oversee all Public Committees or specific Public Committees.

68. Delegation and Authority

68. — (1) The Directors, Community Deputy, and Community Manager may delegate tasks related to Public Missions and Tasks to any Community Member.

(2) The Directors may also temporarily delegate the management of Community Membership and Public Committees.

69. Termination of Community Membership

69. — (1) Community Members may terminate their membership by notifying the Directors and Community Deputy in writing and via the general email address provided.

(2) The Directors or Community Deputy may remove any Community Member at any time for actions or a lack of contribution.

70. Conflict of Interest

70. — (1) Any Community Member aware of a potential conflict of interest must immediately declare it to the Directors.

(2) This includes situations where a member’s actions may knowingly or unknowingly be detrimental to the Company or its Objects.

71. Additional Regulations

71. — (1) All activities and rules of Public Members and Public Committees may be governed by separate or additional regulations that are not included in these Articles of Association.

(2) Such regulations must be consistent with the Objects of the Company and may be established by the Directors or by the relevant Public Committees, subject to approval by the Directors.
